General Terms and Conditions (GTC)

1. Scope of Application
These General Terms and Conditions apply to all business relationships between TrainVision GmbH (hereinafter “TrainVision”) and its clients. Deviating terms and conditions of the client shall not apply unless their validity has been expressly agreed to in writing.

2. Services
TrainVision provides services in the field of personnel provision and recruitment for rail transport. The type and scope of services are governed by individual agreements, framework agreements, or project-related arrangements between the parties.

3. Conclusion of Contract
A contract is concluded by written agreement, acceptance of an offer, or confirmation of an assignment. Verbal side agreements require written confirmation to be valid.

4. Client’s Obligations to Cooperate
The client undertakes to provide all information required for the performance of the services in a timely and complete manner. Delays or additional effort resulting from missing or incorrect information shall not be borne by TrainVision.

5. Remuneration and Payment Terms
Remuneration is based on the agreed price list, individual offer, or the concluded contract in each case. Unless otherwise agreed, invoices are payable within 14 days of the invoice date without deduction.

6. Liability
TrainVision shall be liable for damages only in cases of intent and gross negligence. In cases of slight negligence, TrainVision shall be liable only for the breach of essential contractual obligations (cardinal obligations) and limited to the foreseeable, contract-typical damage. Liability for loss of profit is excluded to the extent permitted by law.

7. Confidentiality
Both parties undertake to keep all confidential information obtained in the course of the cooperation confidential and not to disclose it to third parties, unless there is a legal obligation to do so.

8. Data Protection
Personal data shall be processed in accordance with the applicable data protection regulations. Further information can be found in the privacy policy on the TrainVision website.

9. Termination
Unless otherwise agreed, contracts may be terminated subject to the agreed notice periods. The right to terminate for cause without notice remains unaffected.

10. Final Provisions
The law of the Federal Republic of Germany shall apply. The place of jurisdiction shall be the registered office of TrainVision GmbH, insofar as legally permissible. Should individual provisions of these GTC be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
